Due Diligence Agent

By the end of the week, nobody remembers who read which folder, and how closely.

Works through large volumes of transaction documents to a single standard.

Four reviewers share 1,900 documents, and each reads to a different depth.

The data room is split by folder and each analyst gets a stack. Every document is opened, assigned to a contract type, searched for change of control, termination rights and limitation of liability, and noted in the review log. What stands out in folder three reaches the colleague on folder seven only at Friday's status meeting.

All 1,900 documents pass through the same grid, and the 60% faster review processes are gained where four reviewers used to read to four different depths.

The 60% speed-up in review processes is this agent's headline figure. Document count, clause types and status meetings sketch a typical transaction data room; they are not measured values.

Three steps through the process.

The due diligence specialist judges what the transaction is worth; the agent reads the data room, pulls out the agreed clause types and backs every risk flag with a reference.

Sort the data room by contract type

The agent reads every document in the data room and assigns it to a contract type. Duplicate versions of the same contract are merged.

Extract the clauses from every contract

The agent extracts the six target clause types from every contract and lays them side by side. Where a clause is missing, it records the gap with the contract number.

Write the risk flags into the review log

For every finding, the agent writes the contract, page and wording into the review log. The due diligence specialist decides what goes into the report.

What the agent does not do.

It does not assess the risk of a clause.

It places wording and reference side by side, for instance for the 41 contracts without a change-of-control clause. Whether that becomes an obstacle to the transaction is for the due diligence specialist to judge in the report.

It does not negotiate amendments or draft addenda.

It names the gap in the clause matrix with the contract number. What is proposed to the other side is for the transaction team to decide.

It does not decide which of two versions of the same contract applies.

The 62 duplicate versions in the Project Falcon data room are listed as pairs with date and folder. Which version the review relies on is for the legal analyst to clarify with the seller.

The questions that come up before the first meeting.

How quickly is the Due Diligence Agent ready to use?

A pilot typically runs on your own data within 4 to 6 weeks. The agent connects to your existing systems rather than running as a separate, parallel environment.

Where is the data processed?

EU cloud, private cloud or on-premises. Processing is GDPR-compliant and models are never trained on your data. Details in the Trust Center.

Where does the figure “60% faster review processes” come from?

It is based on experience from comparable projects and process benchmarks, not a commitment. We establish the realistic effect for your organisation in the assessment before the pilot.
